Vendor Agreement

1. Introduction

This Vendor Agreement (“Agreement”) governs your participation as a seller (“Vendor”) on the This That Those and These marketplace (“Platform”). By registering for a vendor account, listing products, or participating in our Authorized Hub consignment program, you agree to be bound by this Agreement and our general Terms and Conditions.

2. Independent Contractor Relationship

You are an independent contractor, not an employee, partner, or agent of This That Those and These. You are solely responsible for your own taxes, insurance, business licenses, and compliance with all local, state, and federal laws regarding the sale of your products.

3. Fees and Commissions

3.1 Standard Sales Commission

For all standard sales processed through the Platform, we charge a 10% commission on the total sale price (excluding shipping and taxes). This fee is automatically deducted before funds are allocated to your vendor balance.

3.2 Consignment and Authorized Hub Fees

If you choose to leave items at one of our Authorized Hub locations for consignment or local pickup:

  • Consignment Fee: An additional 5% fee is charged on the sale price (making the total commission 15% for hub sales).
  • Storage Period: Items may be stored at the Hub for a maximum of 90 days.
  • Late Pickup/Storage Fees: If a buyer purchases an item for local pickup but fails to collect it within 7 days, a storage fee of $1.00 per day will be deducted from the sale proceeds.
  • Unsold Items: If your item does not sell within 90 days, you must retrieve it within 14 days. If not retrieved, we reserve the right to donate or dispose of the item.

4. Payouts and Withdrawals

  • Withdrawal Requests: You may request a withdrawal of your available balance through your Vendor Dashboard.
  • Processing Time: We process withdrawal requests within 2 to 7 business days.
  • Minimum Threshold: Withdrawals are subject to a minimum balance requirement $25.00.
  • Holds: We reserve the right to hold funds for up to 30 days for new vendors, high-risk transactions, or if a dispute/chargeback is initiated by a buyer.
  • Payment Method: Payouts are processed via your connected Stripe account or bank transfer.

5. Product Listings and Intellectual Property

  • Accuracy: You must provide accurate, truthful, and complete descriptions of your products, including condition, dimensions, and flaws.
  • Images: You must own the rights to all images you upload. Do not use stock photos unless you are the manufacturer.
  • Prohibited Items: You may not list illegal items, counterfeit goods, weapons, hazardous materials, or items that infringe on third-party intellectual property.
  • Pricing: You set your own prices. We reserve the right to suggest price adjustments on consignment items that have not sold after 30 days.

6. Order Fulfillment and Shipping

  • Shipping Timeframes: For shipped items, you must dispatch the order within [3 business days] of receiving a paid order notification. You must provide a valid tracking number.
  • Local Pickup/Hub Drop-off: For items designated for an Authorized Hub, you must deliver the item to the Hub within [5 business days] of the sale, in the exact condition described in the listing.
  • Packaging: You are responsible for securely packaging items to prevent damage during transit or storage.

7. Returns, Refunds, and Disputes

  • Return Policy: You must clearly state your return policy on your vendor profile. If no policy is stated, the Platform’s default 14-day return policy for damaged or misrepresented items applies.
  • Disputes: If a buyer opens a dispute, you have 48 hours to respond. If you do not respond, we may issue a refund to the buyer at your expense.
  • Chargebacks: You are financially responsible for any chargebacks or fraud-related losses associated with your sales.

8. Account Suspension and Termination

We reserve the right to suspend or terminate your vendor account immediately, without prior notice, for:

  • Selling prohibited or illegal items.
  • Repeated customer complaints or failure to fulfill orders.
  • Attempting to take transactions off the Platform to avoid commissions.
  • Violating any terms of this Agreement.

Upon termination, any outstanding funds may be held for up to 90 days to cover potential chargebacks or refunds before being released to you.

9. Indemnification

You agree to indemnify and hold harmless This That Those and These, its owners, and employees from any claims, lawsuits, damages, or expenses (including legal fees) arising from your products, your breach of this Agreement, or your violation of any laws.
